Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Noydo (operated by Oktay Kırık) ("Noydo", "we", "us", or "our") governing your access to and use of the Noydo website, mobile application, and related services (collectively, the "Service").

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Your Account

• Noydo uses passwordless authentication. You sign in with a one-time link sent to your email address or with a third-party provider (Google or GitHub). You are responsible for maintaining the security of the email account and any third-party provider account you use to sign in, and for all activity that occurs under your Noydo account.
• You must provide accurate and complete information when creating an account and keep it up to date.
• You may not share your sign-in links, share your account, impersonate another person, or create accounts by automated means.
• Notify us immediately at privacy@noydo.com if you suspect unauthorized access to your account.

3. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not sublicense, resell, or redistribute the Service.

4. Acceptable Use

You agree not to:

• Violate any applicable law or regulation.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Upload or transmit malicious code, viruses, or any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Interfere with or disrupt the Service, including by overloading, flooding, spamming, or denial-of-service techniques.
• Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent such restriction is prohibited by applicable law.
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written permission.
• Use the Service to build a competing product or for benchmarking without our consent.

We may suspend or terminate accounts that violate these restrictions, with or without notice, and cooperate with law enforcement where appropriate.

5. Your Content

You retain ownership of any content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content solely as necessary to operate, secure, and improve the Service. This license ends when you delete Your Content or your account, except to the extent retention is required for backups, legal obligations, or to enforce these Terms.

You are solely responsible for Your Content and represent that you have all necessary rights to submit it and that it does not violate these Terms or applicable law.

6. Intellectual Property

The Service, including its software, design, trademarks, and all non-user content, is owned by Noydo or its licensors and is protected by intellectual property laws. Except for the limited license granted in Section 3, these Terms do not transfer any rights in the Service to you.

7. Third-Party Services

The Service integrates with third-party providers (such as Supabase, Vercel, Google, and GitHub). If you sign in with Google or GitHub, your use of that sign-in flow is governed by the provider's terms and privacy policies. We are not responsible for third-party services and do not endorse them.

8. Service Changes, Availability, and Termination

• We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice, including to perform maintenance or address security issues.
• We do not guarantee that the Service will always be available, error-free, or uninterrupted.
• You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing to provide the Service to you would create legal or security risk for us or our users.
• Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NOYDO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF NOYDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOYDO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).

Some jurisdictions do not allow these limitations. In those jurisdictions, liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Noydo and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms or applicable law.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws principles. You and Noydo agree that the courts and enforcement offices of Istanbul, Republic of Türkiye will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any competent court to protect intellectual property rights.

Nothing in this section limits mandatory consumer-protection rights you may have under the laws of your country of residence.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where required by law, provide additional notice (such as an in-app message or email). Your continued use of the Service after an update means you accept the revised Terms.

14. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Noydo regarding the Service.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
